JNUP

Terms of Service

Effective 2 October 2026 · Version 3

Draft, under review

1 Agreement and service

These Terms govern use of jnup.co, the JNUP iOS app and related services (“Platform”) provided by JNUP Inc. (“JNUP,” “we”). When you affirmatively accept these Terms, they form your agreement with JNUP. If you do not accept, do not use features requiring acceptance. The Community Guidelines form part of the conduct rules under these Terms. Hosts must separately accept applicable Host Terms.

JNUP helps people discover and reserve real-world Activities. Unless a listing expressly identifies JNUP as organizer, an independent Host organizes, operates and supervises the Activity. A paid booking is for the Host’s supply of Activity admission. JNUP provides separate platform services and payment integration and retains responsibility for its own legal obligations.

2 Eligibility and account

You must be at least 18 and legally capable of entering this agreement. Provide accurate account information and a truthful date of birth. JNUP relies on self-declared birth dates; it does not independently verify age or identity. Activities and venues may impose additional lawful requirements, including identification at entry.

Secure your account and report suspected unauthorized access. Do not impersonate another person, share access misleadingly or create a replacement account to evade a ban. You are responsible for authorized activity through your account, subject to applicable law; this does not automatically make you liable for every unauthorized transaction.

3 Conduct and Hosts

Treat participants, Hosts, venue staff and JNUP personnel respectfully. Follow lawful and reasonable venue, eligibility and safety rules. Do not threaten, harass, stalk, sexually harass, assault, discriminate unlawfully, commit fraud, misuse another person’s information, post unlawful or infringing content, or interfere with the Platform. Do not use Activities for undisclosed selling or solicitation contrary to their rules.

Host approval means permission to list, not certification of safety, identity, background, qualifications or insurance. JNUP does not conduct identity verification or background checks on all Hosts or participants. Hosts can refuse admission for lawful reasons and must apply rules without unlawful discrimination. Contact JNUP about a disputed refusal or inaccurate listing.

4 Reservations and waitlists

Available capacity determines whether you receive a reservation or join a waitlist. Joining a waitlist is free and does not authorize an automatic charge. A promoted spot may have a time-limited claim window shown to you. A paid spot is confirmed after successful payment confirmation; an unpaid hold may expire. Do not assume attendance is confirmed merely because payment was attempted. Contact support if a charge appears without a confirmed reservation.

Capacity may be capped, targeted or open. Release a reservation promptly if you cannot attend. Hosts record attendance and no-shows, and JNUP uses attendance information as described in the Privacy Policy. Contact us to correct an inaccurate record.

5 Prices and Stripe payments

Paid bookings on the website and iOS app use Stripe and the same cancellation policy. They concern services attended outside the app. The Host is the seller and merchant of record for Activity admission. Before payment, checkout identifies the Host, the seat price, the JNUP fee (platform and processing), taxes, where applicable, as shown at checkout, the currency, the total price, the cancellation deadline and the refund outcomes.

You authorize the amount shown when you submit payment. A free booking does not authorize a later charge. Optional purchases at a venue are separate unless expressly included. Stripe handles your payment credentials and may apply its own terms and privacy practices. JNUP does not store full card numbers or security codes. The card statement descriptor may identify the Host or booking as explained at checkout.

Checkout shows one JNUP fee, labelled “JNUP fee (platform and processing)”. It is 5% of the seat price for JNUP’s platform service plus an amount for payment processing, added on top of the seat price. Rounding or gross-up can affect the total; the amount disclosed and accepted before purchase controls. Prices of existing purchased reservations will not be increased retroactively. Payment records and confirmation identify the applicable transaction terms.

6 Cancellations and refunds

Every paid seat uses the same policy. The cancellation deadline is 24 hours before the scheduled Activity start and is displayed in the Activity’s local time zone. JNUP records when your cancellation request is received. Contact us if a service problem prevents cancellation; we will review available evidence rather than automatically treating it as late.

When or why the reservation endsRefund
You cancel at or before the 24-hour deadline100% of the seat price; fees above the seat price are not refunded
You cancel after the deadline but before the start50% of the seat price, rounded down to the nearest cent; fees above the seat price are not refunded
You cancel at or after the start, or do not attendNo contractual refund
The Host cancels, or JNUP cancels because the Activity cannot be suppliedFull amount paid, including fees

This policy does not limit statutory cancellation, refund, chargeback or other mandatory rights. A Host cannot substitute a different cancellation ladder at launch. A no-show marking does not override an earlier cancellation that was validly recorded.

A change to the date, start time or venue gives you the choice to accept the change or cancel for a full refund including fees. That choice is open for 48 hours from when the change is made, or until the Activity starts if that is sooner. After it closes, the cancellation policy above applies. Other changes, such as to an Activity’s title or description, do not create that contractual right; mandatory remedies remain available. Do not rely on notifications as your only source of current details; check your reservation before attending.

Refunds normally go to the original payment method. Financial institutions and processors determine settlement time. Contact hello@jnup.co about a missing or incorrect refund. Disputed removal or refused entry is reviewed on its circumstances; these Terms do not automatically make every such reservation nonrefundable. A refund and chargeback do not entitle you to recover the same payment twice.

7 Activity risks and personal responsibility

Real-world Activities involve risks, including strangers’ conduct, exertion, falls, collisions, weather, food or allergens, alcohol, transportation and loss of property. Assess suitability and follow reasonable safety instructions. Physical Activities may require a separate acknowledgement. Stop or modify participation if needed and obtain appropriate professional advice if you are unsure about your ability to participate.

JNUP does not prepare or control food supplied by independent Hosts or venues or guarantee allergen safety. Confirm dietary needs directly. Follow alcohol laws and arrange safe transportation. JNUP does not supply transportation unless expressly stated. You remain responsible for belongings, subject to legal rights. Acknowledging these risks does not waive claims for negligence or rights that cannot legally be waived; a separate enforceable Activity waiver, if used, must be presented distinctly.

8 Reports and blocking

Use available reporting tools or hello@jnup.co to report misconduct, misleading listings or other concerns. JNUP reviews reports and may remove content, contact relevant parties, restrict accounts, suspend Hosts or cancel Activities. Serious or urgent concerns are handled according to their circumstances; no particular outcome or response period is guaranteed. Contact emergency services for an immediate threat.

Guest-list blocking hides two people from each other’s list views; it does not prohibit shared attendance or prevent an offline encounter. Report abusive conduct when additional action is needed. Do not assume hiding an entry means the person cannot attend. JNUP may preserve appropriate incident records under the Privacy Policy and applicable law.

9 Content and intellectual property

You retain ownership of content you own. You grant JNUP a nonexclusive, worldwide, royalty-free licence to store, reproduce, format and display submitted content as needed to provide, support and secure the Platform and relevant Activity. The licence permits necessary processing by service providers. Promotional use of identifiable participant content requires appropriate additional permission; booking alone is not blanket photography or advertising consent. Host promotional content is governed by the Host Terms.

Submit only content you have rights and permission to supply. Do not infringe intellectual property, privacy or other rights. JNUP may remove violating content. Published feedback is handled as disclosed when submitted; private feedback is handled under the Privacy Policy. JNUP may use voluntarily submitted product suggestions without compensation.

JNUP and its licensors own the Platform software, branding and materials they create. We grant a limited, nonexclusive, nontransferable right to use the Platform for its intended purpose while you comply with these Terms. Do not scrape, sell, sublicense, unlawfully reverse engineer, bypass security or imply sponsorship without permission, except as applicable law permits.

10 Privacy and communications

The Privacy Policy at jnup.co/privacy explains collection, recipients, attendance visibility, processors, retention, rights and deletion. Accepting these Terms is not blanket consent to optional marketing or unrelated processing. We provide necessary booking, waitlist, change, cancellation, refund and safety messages. Marketing permissions are handled separately. Host messages must concern the relevant Activity unless another lawful permission applies.

11 Availability and third-party services

We use reasonable care in operating the Platform but cannot promise uninterrupted access, error-free operation, delivery of every notification, attendance levels, compatibility, or the conduct or quality of every Host or Activity. We may change features or temporarily restrict access for maintenance, security, legal or reasonable operational needs. Changes do not eliminate already accrued refund or other legal obligations.

Independent services, including sign-in, maps, payments and app distribution, may have their own terms. We do not exclude responsibility the law assigns to JNUP merely because a provider is involved. If events beyond reasonable control disrupt service, we will take reasonable steps to address them; cancellation and mandatory refund rights still apply.

12 Restriction and termination

JNUP may restrict or terminate access where reasonably necessary for material rule violations, fraud, threats, unlawful conduct, security or protection of others. Immediate action may be necessary; where reasonably possible we provide notice or an explanation and allow you to raise an error with support. Suspension alone does not determine whether a paid booking is refundable.

You may stop using the Platform and initiate account deletion through settings in the website or iOS app. Required payment, dispute or safety records may remain as described in the Privacy Policy. The deletion flow explains effects on active reservations. Deleting an account does not waive an accrued refund or other mandatory right.

13 Liability and mandatory rights

JNUP is responsible for its own conduct to the extent required by law. Independent Hosts and venues remain responsible for theirs. To the extent permitted by law, JNUP does not assume responsibility for harm caused solely by an independent third party it does not control, and excludes indirect, special or consequential losses arising from Platform use. This does not exclude amounts owed under the refund policy, liability for fraud or wilful misconduct, or any liability, warranty, remedy or consumer right that cannot lawfully be excluded.

These Terms do not impose an aggregate monetary liability cap, a general participant indemnity or a release of personal-injury claims. Each person remains responsible for their own unlawful conduct and legally established losses. Separate Host obligations apply only to Hosts who accept them. Nothing here makes a participant responsible for JNUP’s own negligence.

14 Terms changes and disputes

We publish version and effective-date information. Material amendments apply prospectively with appropriate notice; renewed affirmative acceptance is requested where required by law or the nature of the change. Existing purchases remain subject to their accepted transaction terms unless you validly agree otherwise or the law requires a different result.

Alberta law and applicable federal Canadian law govern, subject to mandatory protections of any jurisdiction that legally applies. Disputes may be brought before a competent Alberta court without depriving you of mandatory rights to another forum. No mandatory arbitration or class-action waiver applies. Contact us first if helpful, but doing so is not a prerequisite that limits legal remedies or deadlines.

15 iOS application

Your iOS use is also subject to applicable Apple usage rules. The app licence is for devices you own or control as permitted by those rules. Apple is not a party to the agreement between you and JNUP and is not the Activity organizer. JNUP, not Apple, handles app support and claims concerning the app to the extent legally applicable. Apple has no obligation to supply maintenance or support. To the extent an app warranty applies and an app fails to conform, you may notify Apple; Apple may refund the app purchase price as applicable, and other warranty obligations remain with JNUP to the extent legally required. This does not make Apple responsible for Stripe Activity refunds. Apple and its subsidiaries are third-party beneficiaries of the applicable app licence terms and may enforce them. You must comply with applicable third-party terms and sanctions or export restrictions that legally apply.

16 General terms and contact

If a provision is unenforceable, the lawful remainder continues. Failure to enforce once is not a waiver. You may not transfer your account or agreement without permission. JNUP may transfer this agreement in a legitimate corporate transaction subject to applicable law. These Terms and expressly incorporated policies govern Platform use; Host Terms separately govern hosting. Provisions concerning accrued rights, appropriate content licences, privacy, disputes and lawful responsibility continue as their nature requires after termination.
